Responsibilities

Advice on optimal UAE structures based on business objectives, tax implications, and legal requirements
Handling full-cycle incorporation and governance processes in UAE Mainland, Free Zones, and offshore jurisdictions
Drafting and reviewing incorporation documents including MOA, AOA, shareholder resolutions, nominee arrangements, and local service agent agreements
Coordinating with licensing authorities and other government departments
Ensuring compliance with applicable laws and regulations
Liaising with registered agents, international corporate service providers, and offshore registries
Drafting, reviewing and negotiating nominee director/shareholder agreements, trust deeds, shareholders agreements, joint venture agreements, shares sale and purchase contracts
Ensuring compliance with local offshore laws and international regulations (FATF, OECD, CRS, etc.)
Advising on the use of offshore entities for asset protection, international trade, holding structures, or tax efficiency
Advising on multi-jurisdictional structures including parent-subsidiary setups, holding companies, SPVs, and trust/foundation structures
Identifying legal risks and recommending structuring strategies aligned with client business needs and international legal standards
Working closely with tax advisors, compliance teams, and fiduciary service providers
Staying current with changes in local and international corporate, tax, and regulatory environments
Ensuring compliance with AML, CTF, KYC, UBO, and data protection regulations
Preparing and maintaining due diligence documentation in accordance with compliance requirements

Requirements

Bachelor’s degree in law (LLB)
Admission to practice law in a recognized jurisdiction (advantageous)
Minimum 10 years of relevant experience with strong exposure to UAE and offshore company formation
Ability to manage multiple projects in a fast-paced, commercial environment
Excellent written and verbal communication in English

LLM or specialization in Corporate/Commercial/International Business Law, Strong network with UAE authorities and offshore registered agents, Multilingual skills, International tax and compliance awareness, Multi-jurisdictional corporate knowledge, Strong research and analytical capabilities, Legal structuring and strategic advisory
